These terms apply to all Sponsors, Exhibitors, Speakers, Media Partners, Vendors, and other commercial or representative participants in any Event organised under the Global Games Show brand by VAP Digital Media FZ LLC. These terms are incorporated into all Participation Agreements and are to be read alongside the main Terms & Conditions.
By participating in any Event in any commercial or representative capacity, each Participant unconditionally represents, warrants, and undertakes that all obligations in this Article are and shall remain satisfied throughout the period of participation.
S1.1 Each Participant represents and warrants that: (a) it is duly incorporated, validly existing, and in good standing; (b) it holds all licences, permits, registrations, and authorisations required under UAE law and all applicable jurisdictions to participate in the Event; (c) its participation is in full compliance with all applicable UAE federal laws, Emirate-level regulations, and any applicable free zone authority regulations; (d) it is not subject to any UAE, UN, US, EU, UK, or other applicable sanctions or designations; (e) all products, services, marketing materials, and presentations comply with UAE advertising standards and content regulations; (f) it holds adequate insurance as required by these Terms.
S1.2 Participants in technology, AI, gaming, or financial services sectors additionally warrant that: (a) their products, services, and demonstrations comply with all applicable sector-specific regulatory requirements in all relevant jurisdictions; (b) they will not conduct any unlicensed financial promotion, investment solicitation, or fundraising at or in connection with any Event.
S1.3 Each Participant shall produce evidence of all relevant licences and regulatory approvals upon demand by the Organiser at any time. Failure to produce satisfactory evidence entitles the Organiser to exclude the Participant without liability, refund, or compensation.
S1.4 Each Participant shall immediately notify the Organiser upon becoming aware of any breach of these warranties or of any regulatory investigation, enforcement action, or licence suspension.

S3.1 Each Participant shall fully and unconditionally indemnify, defend, and hold harmless VAP Digital Media FZ LLC, its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, demands, proceedings, investigations, fines, penalties, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) any breach of the warranties in Article S1; (b) failure to hold or maintain any required licence or regulatory approval; (c) any regulatory action against the Organiser resulting from the Participant’s activities; (d) any third-party claim arising from the Participant’s products, services, content, or conduct; (e) any breach of applicable law; (f) infringement of third-party intellectual property rights; (g) damage to the Event venue or infrastructure; (h) any data protection breach involving attendee data; (i) any regulatory fine imposed on the Organiser due to the Participant’s non-compliance.
S3.2 This indemnification obligation survives the Event and any termination of participation agreements without limitation.
S4.1 Each Participant shall maintain, at its own cost, adequate insurance of such types and amounts as are appropriate to the nature and scale of its participation, including: (a) Commercial General Liability insurance sufficient to cover claims arising from its activities; (b) Product Liability insurance where the Participant displays or demonstrates products; (c) Professional Indemnity insurance where the Participant provides professional services; (d) Employer’s Liability or Workers’ Compensation insurance for all personnel deployed.
S4.2 The Organiser reserves the right to request written evidence of insurance coverage at any time. Failure to maintain or evidence adequate insurance entitles the Organiser to exclude the Participant without liability or refund.
S4.3 VAP Digital Media FZ LLC is not responsible for insuring the Participant’s property, equipment, or products at the Event. Participants must arrange their own property and transit insurance.
S5.1 All sponsorship fees, exhibition fees, stand rental charges, and other commercial payments are strictly non-refundable in all circumstances whatsoever. Once payment is made, no refund, credit, or offset shall be issued for any reason, including but not limited to the Participant’s decision to withdraw, inability to attend, changes in business circumstances, or any Force Majeure Event. There are no cancellation rights, cooling-off periods, or partial refund entitlements of any kind.
S6.1 Where Participants collect personal data of Attendees via badge scanning or other means, each Participant acts as an independent data controller and is solely responsible for: (a) providing appropriate notice and obtaining required consent; (b) processing data only for lawful purposes; (c) securing data; (d) handling data subject rights requests; (e) complying with UAE PDPL, KSA PDPL, HK PDPO, SG PDPA, and all other applicable data protection laws.
S6.2 VAP Digital Media FZ LLC accepts no liability for any data protection breach, regulatory fine, or claim arising from a Participant’s processing of personal data. Full indemnity applies.
